Refund Policy

Effective Date: September 12, 2026

This Refund Policy applies to Products, subscriptions, software access, professional services, usage, wallet activity, and other charges provided or billed by All My Web Needs, LLC, referred to as “AMWN,” “All My Web Needs,” “we,” “our,” or “us.”

Capitalized terms not defined in this Policy have the meanings provided in the Terms of Use.

This Refund Policy is incorporated into the Agreement.

1. General No-Refund Policy

EXCEPT WHERE EXPRESSLY REQUIRED BY NON-WAIVABLE LAW OR AN APPLICABLE WRITTEN AMWN GUARANTEE, ALL FEES, PAYMENTS, SALES, SUBSCRIPTIONS, PURCHASES, USAGE CHARGES, WALLET CHARGES, CREDITS, AND OTHER CHARGES ARE FINAL AND NON-REFUNDABLE.

This includes:

  1. Monthly subscription payments;
  2. Annual subscription payments;
  3. Setup, onboarding, implementation, and migration Fees;
  4. Website, design, branding, programming, marketing, advertising, consulting, and professional-service Fees;
  5. Deposits and installment payments;
  6. Usage Charges;
  7. Telephone, telephone-number, SMS, MMS, RCS, email, email-verification, AI, workflow, automation, storage, bandwidth, and communications charges;
  8. AMWN App wallet charges, including wallet funding, automatic replenishments, usage deductions, and negative wallet balances;
  9. Included, promotional, or complimentary credits;
  10. Add-ons;
  11. Third-Party Service charges;
  12. Payment-processing, carrier, and telecommunications charges;
  13. Taxes and government assessments;
  14. Ad Spend;
  15. Domain, hosting, licensing, software, and provider charges;
  16. Expedited or priority-service Fees;
  17. Late, returned-payment, reactivation, cancellation, administrative, and collection Fees; and
  18. Charges incurred before cancellation but reported or billed afterward.

Immediate access to the AMWN App, digital functionality, Account configuration, licensed technology, and other digital Products begins when the Account or applicable feature is activated. Failure to use the Product after access is provided does not create a refund right.

2. Subscription Cancellation

A subscription may be canceled only in accordance with the Terms of Use and applicable Order.

For AMWN App subscriptions, cancellation may ordinarily be completed through available Account billing controls or by submitting a written request to AMWN.

Cancellation:

  1. Stops future renewals after the effective cancellation date;
  2. Is ordinarily effective at the end of the current paid billing period;
  3. Does not refund or prorate an amount already paid;
  4. Does not eliminate Usage Charges or wallet charges;
  5. Does not cancel another Product;
  6. Does not release the Client from a committed term governed by a Master Agreement or Order; and
  7. Does not eliminate obligations surviving cancellation.

Deleting an application, ceasing use, removing a payment method, revoking payment authorization, requesting that a bank stop payment, or filing a chargeback does not constitute cancellation.

3. Monthly Subscriptions

A monthly subscription remains active through the end of the paid monthly period unless AMWN suspends or terminates access earlier under the Agreement.

No refund or credit is issued for an unused portion of the month.

To avoid the next charge, the Client must complete cancellation before the next renewal is processed.

4. Annual Subscriptions

Annual subscriptions are billed in advance for the entire annual period.

Canceling an annual subscription prevents the next annual renewal but does not refund or credit any unused portion of the current annual period.

Any annual discount, complimentary month, or similar pricing benefit is part of the annual commitment and does not create a monthly cancellation or proration right.

5. Master Agreement and Separate Documents

When the Client has separately signed a Master Agreement:

  1. The Master Agreement’s payment, term, cancellation, acceleration, and non-refund provisions remain in effect;
  2. This Refund Policy supplements the Master Agreement;
  3. The Master Agreement controls in the event of a conflict; and
  4. Nothing in this Policy limits AMWN’s rights under the Master Agreement.

A Work Order, payment authorization, or payment form remains a separate document. Its payment and cancellation provisions apply according to its own terms and any valid incorporation by reference.

The term “Master Agreement” does not include those separate documents.

6. Done-for-You and Professional Services

Some AMWN App subscriptions include done-for-you setup, strategy, implementation, website work, migration, configuration, customization, or other professional services.

Once AMWN has begun or provided any such work:

  1. The Client may not downgrade to a lower-priced Product without AMWN’s written approval;
  2. Cancellation does not create a refund right;
  3. The value of completed work will not be refunded or credited;
  4. Unused included support, setup, implementation, consultation, or revision time has no cash value; and
  5. The Client remains responsible for Usage Charges, wallet charges, provider costs, and other Fees incurred.

7. Purchased and Custom Products

Deposits, progress payments, installment payments, completed work, design concepts, strategy, research, custom programming, custom configuration, reserved production time, and other professional work are non-refundable.

For a Purchased Product, ownership transfers only after final payment and delivery as described in the Agreement.

A decision not to use, approve, publish, launch, or complete a Product does not create a refund right for:

  1. Work performed;
  2. Resources reserved;
  3. Services made available;
  4. Provider charges incurred; or
  5. Client-caused delays.

8. Usage Charges

Usage Charges are non-refundable after the applicable activity occurs.

The Client is responsible for usage generated by:

  1. Authorized Users;
  2. AI agents;
  3. Workflows and automations;
  4. Scheduled campaigns;
  5. Integrations and APIs;
  6. Imported configurations;
  7. End Users;
  8. Compromised credentials before AMWN had a reasonable opportunity to act; and
  9. Other Account activity.

A workflow, automation, campaign, integration, or AI agent may generate Usage Charges without a person manually initiating each individual activity.

Usage may be reported after cancellation. AMWN may charge the payment method on file for usage incurred before cancellation or termination.

9. AMWN App Wallet Charges and Credits

9.1 Wallet Charges

AMWN App wallet funding, automatic replenishments, deductions, and related charges are prepaid amounts intended to pay for eligible usage and services.

Except where applicable law requires otherwise or an Order expressly states otherwise, wallet charges are non-refundable.

9.2 Permitted Wallet Refund Requests

When AMWN or applicable provider rules permit a return of an unused Client-funded wallet balance:

  1. The Client must submit a written request within 30 days after cancellation or termination;
  2. The request applies only to unused, cleared, Client-funded amounts;
  3. Promotional, complimentary, bonus, or included credits are excluded;
  4. Consumed, pending, reserved, disputed, or provider-committed amounts are excluded;
  5. AMWN may first deduct negative balances, outstanding Fees, refunds, chargebacks, provider charges, taxes, and administrative costs; and
  6. Any return remains subject to applicable law and provider requirements.

Failure to request an eligible return within the applicable period may result in expiration or other treatment permitted by provider rules and applicable law.

9.3 Included and Promotional Credits

Included, complimentary, promotional, or bonus credits:

  1. Have no cash value;
  2. Are non-refundable;
  3. Are non-transferable;
  4. May expire at the end of the applicable billing period;
  5. Do not roll over unless expressly stated;
  6. May not be exchanged for another Product; and
  7. Expire upon cancellation or termination unless applicable law requires otherwise.

10. Third-Party Charges

AMWN may incur or pass through non-refundable costs charged by providers, carriers, payment processors, domain registrars, software providers, advertising services, AI providers, marketplace applications, and other Third-Party Services.

A provider’s failure, outage, policy change, suspension, rejection, or refusal to issue AMWN a refund does not obligate AMWN to refund the Client.

AMWN may agree in writing that a refund is contingent upon receiving a corresponding refund from a provider. No obligation arises unless AMWN expressly makes that written agreement.

11. Advertising Spend

Ad Spend is non-refundable after it is incurred, committed, funded, or paid to an advertising service.

AMWN does not guarantee that an advertising service will approve a refund or credit for:

  1. Invalid clicks or leads;
  2. Fraudulent activity;
  3. Account suspension;
  4. Policy enforcement;
  5. Campaign performance;
  6. Unused budget; or
  7. Another disputed charge.

A refund request or dispute submitted by AMWN to an advertising service does not guarantee that a refund or credit will be granted.

12. Written Guarantees and Promotions

A specific written AMWN refund guarantee or promotion may create a limited exception to this Policy.

Any exception:

  1. Applies only to the Product expressly covered;
  2. Applies only during the stated period;
  3. Requires satisfaction of all eligibility conditions;
  4. Does not apply to Ad Spend, Usage Charges, wallet charges, taxes, processing charges, carrier charges, domains, provider costs, or other excluded charges unless expressly stated;
  5. Does not apply to another Product;
  6. Does not establish an ongoing course of dealing; and
  7. Is the Client’s exclusive refund remedy for that promotion.

A verbal statement does not create a refund guarantee.

13. Billing Errors and Duplicate Charges

A verified duplicate charge or clear billing error may be corrected.

The Client should report a suspected billing error promptly and, when reasonably possible, within 30 days after the charge appears.

AMWN may request supporting documentation.

Correction of a billing error:

  1. Is not a discretionary refund;
  2. Does not modify this Policy;
  3. Does not create a refund right for valid charges; and
  4. May be issued as an Account credit where legally permitted.

14. Unauthorized Account Use

The Client must protect credentials and monitor Account activity.

The Client is responsible for charges incurred through its Account until AMWN receives notice of unauthorized access and has had a reasonable opportunity to act.

AMWN is not required to refund charges resulting from:

  1. Shared credentials;
  2. Failure to remove a former employee or contractor;
  3. Failure to use available multi-factor authentication;
  4. Insecure Client devices or networks;
  5. Authorized User activity;
  6. An Authorized User adding or authorizing another Authorized User;
  7. Automation, workflow, integration, or AI activity; or
  8. The Client’s failure to safeguard the Account.

This section does not limit non-waivable rights concerning a genuine unauthorized payment transaction.

15. Service Interruptions and Dissatisfaction

A service interruption, delay, feature change, rebranding, Third-Party Service outage, deliverability issue, integration failure, AI error, unmet expectation, failure to achieve a business result, or decision not to continue using a Product does not create a refund right.

Any remedy for a qualifying continuous service interruption is governed exclusively by the limitation-of-liability and liquidated-damages provisions in the Terms of Use or applicable Master Agreement.

16. Suspension and Termination

Suspension, restriction, deactivation, or termination for nonpayment, prohibited activity, security concerns, provider action, violation of law, chargeback abuse, or breach does not create a refund right.

The Client remains responsible for:

  1. Amounts already charged;
  2. Usage incurred;
  3. Wallet charges and negative balances;
  4. Third-party costs;
  5. Ad Spend;
  6. Collection costs;
  7. Committed-term charges;
  8. Accelerated amounts; and
  9. Obligations surviving termination.

17. Chargebacks and Payment Disputes

The Client should contact AMWN before initiating a payment dispute so AMWN can investigate a claimed billing error.

A chargeback or payment reversal concerning a valid charge:

  1. Does not constitute cancellation;
  2. Is a material breach;
  3. May result in immediate suspension or termination;
  4. May result in acceleration of committed amounts;
  5. May result in chargeback, administrative, collection, and legal costs; and
  6. Does not release the Client from payment.

AMWN may provide the payment processor with the Agreement, acceptance records, invoices, usage information, Account activity, communications, and other evidence supporting the charge.

18. Refund Discretion

AMWN may issue a refund, credit, extension, or accommodation in its sole discretion.

A discretionary accommodation:

  1. Is not an admission of liability;
  2. Does not establish a precedent;
  3. Does not modify this Policy;
  4. Does not require AMWN to provide another accommodation; and
  5. May be conditioned on a written release or other terms.

19. Changes to This Refund Policy

AMWN may update this Policy by posting an updated version or providing reasonable notice.

A change does not create a retroactive refund right.

An online update does not amend a signed Master Agreement where the Master Agreement requires a signed amendment.
